01 - Terms & Conditions of Sale

The terms on which we supply goods

These terms apply to all quotations, orders and sales between Elevate Electronics Ltd, trading as C.E. Electronics, and its business customers. They prevail over any terms a customer seeks to impose, unless we have agreed otherwise in writing. We supply to the trade only; nothing here affects the statutory rights of a consumer.

Orders & acceptance

Quotations are an invitation to order and are valid for 30 days unless stated otherwise. An order is accepted only when we issue a written acknowledgement or dispatch the goods. We reserve the right to decline any order.

Prices & payment

Prices are exclusive of VAT and carriage unless stated. Unless agreed credit terms apply, payment is due before dispatch; where credit is granted, invoices are payable within 30 days of the invoice date. We may charge interest on overdue accounts in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

Lead times & delivery

Stated lead times are estimates given in good faith and are not guaranteed. Risk in the goods passes to the customer on delivery; title passes only when we have received payment in full.

Bespoke & made-to-order goods

Bespoke, custom-finished and made-to-order items are manufactured to your specification and cannot be cancelled, returned or refunded once production has begun, except where the goods are faulty. It is the customer's responsibility to confirm fitment, dimensions and compatibility before placing such an order.

Warranty & returns

We warrant that standard goods will be free from defects in materials and workmanship for 5 years from delivery, subject to correct installation and use. Goods may not be returned without prior written authorisation. Our liability under this warranty is limited, at our option, to repair, replacement or refund of the defective goods.

Limitation of liability

Nothing limits our liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded by law. Subject to that, our total liability for any claim is limited to the price of the goods, and we are not liable for indirect or consequential loss, loss of profit, or loss arising from incorrect specification or installation by others.

Intellectual property & governing law

All designs, drawings and intellectual property created by us remain our property. These terms are governed by the laws of England & Wales, and the courts of England & Wales have exclusive jurisdiction over any dispute.
